The applicable pro forma invoice or final order confirmation;
The latest customer-approved production drawings and specifications;
The applicable technical agreement;
The Deslano Limited Product Warranty;
The Deslano Refund, Cancellation and Return Policy;
These Terms of Service;
General website descriptions, catalogs, marketing materials, and promotional images.
A project-specific written agreement may expressly provide a different order of priority.
3. Eligibility and Authority
By using this website or placing an order, you represent that:
You are at least the legal age of majority in your jurisdiction;
You have the legal capacity to enter into a binding agreement;
The information you provide is accurate and complete;
You are authorized to act for any company, project owner, customer, or other entity you represent;

Technical assistance from Deslano does not transfer responsibility for the overall building design or local regulatory compliance to Deslano.
7. Product Inquiries and Quotations
Submitting an inquiry does not create a contract or require Deslano to accept an order.
Unless expressly stated otherwise, website product descriptions, price indications, promotions, drawings, and communications are invitations to request a quotation and are not binding offers.
A Deslano quotation may specify:

Dimensions and quantities;

A quotation does not become a confirmed order until the applicable order-confirmation requirements have been completed.
8. Order Formation
An order is considered confirmed only after Deslano has received and accepted the required combination of:
A signed sales contract;
A purchase order accepted by Deslano;
Written acceptance of a quotation or pro forma invoice;
The required deposit or full payment;
Approved production drawings;
Approved specifications, colors, glass, hardware, or samples;
Written authorization to begin production.
An automated website acknowledgment, inquiry confirmation, or payment notification does not necessarily constitute final acceptance of an order.
Deslano may reject or cancel an order before production begins if:
Product specifications are incomplete or technically impractical;
Pricing or product information contains an obvious error;
Payment cannot be verified;
Materials are unavailable;
The order presents legal, compliance, safety, or fraud concerns;
The destination or transaction is restricted by applicable law;
The customer fails to provide required information or approvals.
If Deslano cancels an order for reasons not caused by the customer, Deslano will return eligible payments received, subject to applicable banking and transaction procedures.
9. Customized Product Approval
Most Deslano products are manufactured according to customer-specific requirements.
Before approving production, the customer must carefully verify:
Overall frame dimensions;
Manufacturing dimensions;
Installation opening dimensions;
Quantity;
Product type;
Interior and exterior orientation;
Opening direction;
Number and arrangement of panels;
Fixed and operable sections;
Glass type, thickness, coating, and composition;
Aluminum profile series;
Frame color and surface finish;
Hardware brand and configuration;
Handle position and height;
Locking requirements;
Drainage requirements;
Electrical voltage and control requirements;
Packaging requirements;
Performance requirements;
Applicable standards.
Approval may be given by signed document, email, messaging platform, customer portal, purchase order, deposit payment following receipt of drawings, or another written method accepted by Deslano.
Once approval has been provided, Deslano may purchase materials and begin production.
The latest written approval accepted by Deslano will generally control production.
10. Customer Measurements and Project Information
Unless Deslano has entered into a separate written site-measurement agreement, all dimensions are provided or confirmed by the customer.
The customer is responsible for:
Accurate site measurements;
Correct wall-opening dimensions;
Correct floor and finished-floor levels;
Appropriate installation clearances;
Correct structural-opening information;
Correct interior and exterior identification;
Correct opening directions;
Providing complete project conditions;
Confirming that the supporting structure is suitable.
Deslano is not responsible for products that do not fit because of inaccurate measurements, incomplete information, site changes, construction tolerances, or customer approval errors.
Manufacturing a product in accordance with the approved drawing does not constitute a defect merely because the product does not fit the actual opening.
11. Drawings and Technical Documents
Preliminary drawings, renderings, sketches, and proposals may be issued for discussion only.
Only documents clearly identified or accepted as final production drawings may be relied upon for manufacturing.
Unless otherwise agreed:
Dimensions shown on approved production drawings take priority over visual proportions;
Written specifications take priority over general renderings;
Product identification codes take priority over marketing names;
The latest approved revision replaces earlier revisions;
The customer must notify Deslano immediately of any inconsistency.
The customer must not rely on scaling a PDF, screenshot, photograph, or rendering to determine dimensions.
Deslano may revise a design where reasonably necessary for manufacturing, safety, drainage, structural support, hardware compatibility, or product performance, provided that any material change is communicated for approval.
12. Product Images, Samples, and Color Representation
Website images, videos, renderings, catalogs, and project photographs are for general reference.
Actual appearance may vary because of:
Screen settings;
Lighting;
Photography;
Glass reflection;
Viewing angle;
Surrounding materials;
Production batches;
Surface texture;
Natural weathering;
Manufacturing tolerances.
Physical samples are more reliable than digital images for evaluating color and finish.
Even when a physical sample is approved, minor variations may occur between the sample and the final product because of material batches and production processes.
Minor variations that fall within reasonable industry or supplier tolerances do not constitute defects.
13. Prices, Currency, Taxes, and Duties
Unless expressly stated otherwise:
Prices are quoted in the currency shown in the quotation;
Prices apply only to the listed specifications and quantities;
Prices exclude local installation;
Prices exclude destination customs duties, import taxes, value-added tax, sales tax, permits, inspections, storage, demurrage, and local handling;
Freight and insurance are included only when expressly stated;
Bank and intermediary charges are borne according to the payment terms.
The customer is responsible for taxes, duties, assessments, customs charges, and government fees imposed outside China unless the applicable written trade term provides otherwise.
If the customer is entitled to a tax exemption, the customer must provide acceptable documentation before invoicing or shipment.
Deslano may correct an obvious pricing or calculation error before accepting or producing an order.
14. Payment Terms
Payment terms will be stated in the applicable quotation, pro forma invoice, or contract.
Unless otherwise agreed in writing:
Production will not begin until the required deposit has cleared;
Final payment must be received before shipment or release of goods;
Payments must be made to the bank account officially designated by Deslano;
The customer is responsible for verifying any request to change bank details.
Customers should independently confirm any change in payment instructions through a previously verified Deslano contact.
Deslano is not responsible for payments sent to an unauthorized account because of phishing, impersonation, email compromise, or failure to verify changed payment instructions, except to the extent caused by Deslano's proven misconduct.
Late or incomplete payment may result in:
Production suspension;
Delivery delay;
Storage charges;
Withholding of documents;
Withholding of shipment;
Cancellation where permitted by the applicable agreement;
Recovery of reasonable collection costs.
Title to products remains with Deslano until all amounts due for those products have been received, to the extent permitted by applicable law.
15. Order Changes
Customer-requested changes must be submitted in writing and are effective only after written acceptance by Deslano.
Changes may result in:
Additional design charges;
Additional material costs;
Remanufacturing costs;
Supplier cancellation fees;
Revised prices;
Revised production schedules;
Revised shipping dates;
Revised packaging or freight costs.
Deslano may reject a change when production has progressed beyond the stage at which the change can reasonably be made.
The applicable Deslano Refund, Cancellation and Return Policy governs cancellation charges and non-refundable customized work.
16. Production and Lead Times
Production and delivery periods are estimates unless expressly guaranteed in a signed written agreement.
Estimated lead time normally begins only after:
Deposit payment has cleared;
Final specifications have been confirmed;
Production drawings have been approved;
Required samples have been approved;
All necessary project information has been received.
A customer-requested change, delayed approval, delayed payment, or incomplete information may restart or extend the estimated lead time.
Deslano may use different production lines, factories, approved suppliers, or manufacturing sequences where reasonably necessary, provided that the agreed product requirements are maintained.
17. Product Performance
Published or quoted performance information may include:
U-factor or thermal-transmittance values;
Solar heat-gain information;
Visible-light-transmittance information;
Acoustic ratings;
Air-infiltration ratings;
Water-tightness ratings;
Wind-pressure ratings;
Structural test information;
Security classifications.
Such values generally apply only to the specific product size, configuration, glass, hardware, installation method, and test conditions to which they relate.
Performance results for one tested configuration do not automatically apply to:
A larger or smaller product;
A different number of panels;
A different glass specification;
A different frame series;
A different hardware arrangement;
Combined or coupled products;
A different installation method;
A complete building façade.
Unless expressly confirmed in writing, website performance information is not a project-specific performance guarantee.
18. Certifications and Standards
Certificates, test reports, declarations, and product approvals apply only within their stated scope.
The customer must identify all required standards, certificates, labels, test reports, and approval requirements before confirming the order.
Deslano is not responsible for a product failing to satisfy an undisclosed local certification or approval requirement.
The use of a certificate logo, test report, or standard reference does not mean that every Deslano product or every customized configuration is covered by that certificate.
Deslano may charge separately for project-specific testing, certification, engineering calculations, inspection, or documentation.
19. Installation
Unless a separate installation agreement expressly states otherwise, Deslano supplies products but does not perform local installation.
The customer is responsible for arranging installation by qualified personnel.
Products must be installed according to:
Deslano installation instructions;
Approved shop drawings;
Applicable local building codes;
Appropriate engineering requirements;
Sealant and flashing manufacturers' instructions;
Good construction practice.
Deslano is not responsible for problems caused by:
Incorrect anchoring;
Incorrect glazing;
Improper waterproofing;
Incorrect sealant;
Blocked drainage;
Unsuitable supporting structures;
Installation damage;
Incorrect adjustment;
Building movement;
Failure to follow installation instructions.
Remote advice or technical support does not make Deslano responsible for third-party installation.
20. Shipping and Delivery
Shipping terms will be governed by the applicable quotation, pro forma invoice, sales contract, and stated Incoterm.
The customer is responsible for reviewing the selected Incoterm and understanding:
The point at which risk transfers;
The party responsible for freight;
The party responsible for insurance;
Export and import responsibilities;
Customs-clearance obligations;
Loading and unloading obligations;
Destination charges.
Estimated shipping or arrival dates are not guaranteed unless expressly stated in a signed agreement.
Deslano is not responsible for delays caused by carriers, ports, customs, inspections, congestion, weather, government action, or other events outside its reasonable control.
The customer must ensure that the delivery site has suitable:
Access;
Labor;
Forklifts or cranes;
Unloading equipment;
Storage space;
Weather protection.
21. Inspection and Acceptance
The customer or consignee must inspect packaging and products promptly upon delivery.
Visible shipping damage should be recorded on the carrier's delivery receipt before acceptance.
The customer must report:
Visible shipping damage within the period stated in the Shipping and Delivery Policy;
Concealed shipping damage within the stated concealed-damage period;
Missing or visibly incorrect products within the applicable inspection period;
Warranty defects within the applicable warranty period.
Products with obvious damage or visible defects should not be installed without written instructions from Deslano.
Installation, modification, cutting, drilling, painting, reglazing, or disposal of a visibly affected product may be treated as acceptance and may limit the available remedy.
22. Failure to Accept Delivery and Storage
If the customer delays shipment, fails to provide delivery instructions, fails to complete payment, or refuses to accept completed goods, Deslano may:
Store the goods;
Charge reasonable storage and handling costs;
Revise the shipping schedule;
Require additional packaging;
Recover demurrage, detention, port, and warehouse charges;
Exercise other rights available under the sales agreement or applicable law.
Risk of deterioration caused by extended storage may pass to the customer after the customer has been notified that the products are ready for shipment.
Deslano may dispose of abandoned products only where permitted by the applicable agreement and law and after reasonable written notice.
23. Cancellations, Returns, Refunds, and Warranty
Order cancellations, product returns, refunds, replacements, manufacturing defects, and warranty remedies are governed by:
The applicable sales contract;
The Deslano Refund, Cancellation and Return Policy;
The Deslano Limited Product Warranty;
Applicable mandatory law.
Because most Deslano products are customized, they are generally not eligible for return or cancellation after production begins merely because the customer changes their mind, changes the project, or supplied incorrect information.
A valid warranty claim does not automatically entitle the customer to a cash refund. Available remedies may include:
Technical guidance;
Adjustment;
Repair;
Replacement parts;
Component replacement;
Product replacement;
Partial refund;
Other reasonable corrective action.
24. Third-Party Products and Components
Some Deslano products may incorporate components supplied by third parties, including:
Hardware;
Motors;
Control systems;
Sensors;
Smart-home devices;
Glass accessories;
Shading products;
Access-control systems.
Third-party components may be subject to the original manufacturer's terms, warranties, software licenses, and operating requirements.
Deslano does not grant rights or warranties beyond those it is authorized to provide unless expressly agreed in writing.
The customer is responsible for reviewing third-party instructions and ensuring compatibility with local electrical, network, building, and safety requirements.
25. Third-Party Websites and Tools

Deslano does not control all third-party services and does not guarantee their:

Availability;
Security;
Privacy practices;
Products;
Services;

Your use of a third-party service is subject to that provider's terms and policies.
26. Deslano Intellectual Property

After full payment, the customer receives a limited right to use the final project drawings for installing, operating, and maintaining the purchased products at the identified project.
The customer may not provide Deslano drawings to another manufacturer for copying, tendering, reverse engineering, or competing production without written permission.
Customer-provided architectural drawings remain the property of the customer or their respective owner.
28. Customer-Provided Materials
When you provide Deslano with drawings, photographs, logos, specifications, trademarks, designs, or other materials, you represent that:
You own them or have permission to use them;
Deslano's authorized use will not violate third-party rights;
The information is accurate and lawful;
The materials do not contain malicious code.
You grant Deslano a limited right to use, reproduce, adapt, and share those materials with employees, factories, suppliers, engineers, inspectors, and logistics providers to the extent reasonably necessary to quote, design, manufacture, inspect, package, deliver, and support the order.
Deslano will not obtain ownership of the customer's underlying intellectual property merely by using it for the project.
Project photographs, customer names, logos, addresses, and confidential project details will not be published for marketing purposes without permission where such permission is legally required or expressly agreed.
29. Feedback and Communications
If you voluntarily provide product suggestions, website feedback, or general improvement ideas that are not confidential project information, you grant Deslano permission to use those suggestions without payment or obligation.
You should not submit confidential inventions, proprietary product concepts, or trade secrets through public website forms unless a written confidentiality agreement is already in effect.

36. Indemnification

Termination does not affect rights and obligations that arose before termination.
Provisions relating to payment, intellectual property, confidentiality, liability, indemnification, dispute resolution, and other provisions that should reasonably survive will remain effective.
39. Governing Law
Unless a signed sales contract states otherwise, these Terms and related transactions are governed by the laws of the People's Republic of China, without giving effect to conflict-of-law rules.
To the extent permitted by applicable law, the United Nations Convention on Contracts for the International Sale of Goods will not apply unless the parties expressly agree otherwise in writing.
Mandatory consumer rights applicable in the customer's jurisdiction are not excluded where they cannot legally be waived.
40. Dispute Resolution
The parties should first attempt to resolve any dispute through good-faith negotiation.
A party should give written notice describing the dispute and the requested resolution. The parties should allow at least 30 calendar days for negotiation unless urgent interim relief is required.
Unless a signed sales contract provides otherwise, any dispute arising out of or in connection with these Terms, a quotation, an order, or a Deslano product transaction that cannot be resolved through negotiation shall be submitted to the China International Economic and Trade Arbitration Commission South China Sub-Commission for arbitration in Shenzhen, China, under the CIETAC arbitration rules in effect when the arbitration is commenced.
Unless otherwise agreed:
The tribunal will consist of one arbitrator;
The arbitration language will be English;
The arbitral award will be final and binding;
The proceedings and award will be confidential, except where disclosure is required by law or for enforcement.
Either party may seek urgent interim or protective measures from a competent court where permitted.
A project-specific sales contract may select a different court, arbitration institution, seat, language, or governing law.
41. Electronic Records and Notices
The parties agree that electronic communications may constitute valid written communications and evidence.
Electronic approval may include:
Email confirmation;
Signed PDF;
Electronic signature;
Customer-portal approval;
Written messaging-platform confirmation;
Payment made following receipt of approved order documents.
Formal notices should be sent to the latest contact information provided by the receiving party.
A customer must promptly notify Deslano of changes to their email address, telephone number, company information, billing details, or delivery address.
42. Assignment
You may not assign or transfer a confirmed order or your rights under these Terms without Deslano's prior written consent.
Deslano may assign rights or obligations to an affiliate, successor, financing provider, logistics provider, or purchaser of the relevant business, provided that such assignment does not unlawfully reduce the customer's existing rights.
43. No Waiver
Failure by either party to enforce a provision immediately does not waive that provision or any other right.
A waiver is effective only when made in writing by an authorized representative.
A waiver relating to one breach does not automatically waive a later or continuing breach.
44. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, it will be interpreted or modified to the minimum extent necessary to make it enforceable.
The remaining provisions will continue in effect.
45. Entire Agreement
These Terms, together with the applicable policies and order documents, constitute the agreement between the parties concerning the matters they cover.
They supersede prior general discussions or communications concerning those same matters, but do not replace a signed project-specific agreement.
A customer purchase order containing additional or conflicting standard terms will not modify Deslano's terms unless Deslano expressly accepts those terms in writing.
46. Language
These Terms may be translated for customer convenience.
Unless a signed agreement states otherwise, the English version will prevail if there is an inconsistency between the English version and a translated website version.
For a bilingual signed contract, the controlling language will be the language expressly identified in that contract.
47. Changes to These Terms
Deslano may update these Terms from time to time by publishing a revised version with a new "Last Updated" date.
Updated Terms apply to website use after publication.
Changes will not retroactively alter a confirmed order unless:
The parties agree in writing;
The applicable order documents expressly allow the change;
The change is required by mandatory law.
You should review the current version before placing an order.
